All materials, artwork and/or photography provided to the Lee County Medical Society (LCMS) or Lee County Medical Society Foundation (LCMSF) by the advertiser/client shall be the property of the client with copyright and publishing ownership, and client agrees to hold the Society harmless in any copyright dispute. Permission is hereby given to use any artwork and/or photography in Society materials, as outlined in the marketing brochure or as instructed by the client and documented in writing. If materials are not received by deadline, client will miss its opportunity. All materials, artwork, photography and/or advertising copy must be of professional quality. The Society reserves the right to approve or refuse any materials and/or advertising for any reason. Ads received after deadline shall incur a $100 late processing charge. Ads received beyond seven days past deadline may be held for a future issue, if applicable, and upon agreement. Ads supplied to the Society are the full responsibility of client. The Society cannot guarantee quality output for ads or artwork that do not meet exact specifications. All editorial in Society publications must be about a specific subject and not about the client, client’s company, or client’s services. An article or presentation about the client, client’s company, or client’s services is considered advertorial and will be rejected. If the Society or its contract agent provides any production of materials requiring client approval, the client will receive an email proof. Client agrees to review said proof for content accuracy and reply with any corrections within 24 hours. If proof is not received back within 24 hours, the materials will be considered approved and run as is. Payment is expected to Society or agent by a specific deadline or within 30 days of invoice. Printed production requirements and mechanical specifications in effect at time of this contract shall apply. The Society’s responsibility and liability for errors and/or omissions shall be limited to re-running the ad or offering an alternative at equal value. This applies only to paid content. Editorial content is subject to Society editing and is not subject to credit. If any part of this agreement is an exchange for products or services, client agrees to complete or deliver said products or services as agreed to in writing. If client fails to deliver products or services within the agreed time, the full cash value of the exchange shall be due from client. If additional products and/or special services are provided to client, said additional products and/or special services are separate from advertising costs and payments. The Society may withhold any products and/or special services until advertising account balance is current. Event sponsor/supporter assumes entire responsibility and hereby agrees to protect, indemnify, and defend the Lee County Medical Society, the host site, its affiliates, officers, employees and partners of each harmless against all claims, losses and damages; including negligence to persons or property, governmental charges or fines and attorney’s fees arising out of or caused by sponsor’s installation, removal, maintenance, occupancy or use of the event premises or a part thereof. In addition, sponsor acknowledges that the indemnified parties do not maintain insurance covering sponsor’s property and that it is the sole responsibility of the exhibitor to obtain business interruption, property damage and comprehensive general liability insurance. This agreement is non-cancelable by client unless otherwise specifically noted herein. Cancellation and/or suspension of this agreement by the Society for non-payment, or any other reason, releases the Society from continued performance. Any discounts allowed under this agreement shall be null and void upon cancellation or default and the full amount of the agreement shall be due and payable. All advertising must be paid by deadline for the agreed upon item(s). Individual signing agreement personally guarantees payment in full. If client pays any portion of this agreement with credit card, client agrees not to contact credit card company to reverse charges for any reason. If client is due a refund for any reason, the Society will either credit back client’s credit card or issue a refund check. If the Society is compelled to institute collection procedures or legal actions to enforce any of its rights under this agreement, it shall be entitled to recover from advertiser all costs thereof, including but not limited to, reasonable attorney’s fees, collection agency fees, and 18% annual interest on amounts past due. Venue shall be Lee County, Florida. Advertiser agrees to abide by all requirements, restrictions and obligations set forth in this form. Advertiser further acknowledges that the Lee County Medical Society reserves the right to reject, at its discretion, any application to sponsor.
